PingPong福贸用户协议

感谢您使用PingPong福贸服务。本PingPong福贸用户协议（以下简称“本协议”）由Ping Pong Global Holdings Limited （以下简称“PingPong”或“我们”）与福贸用户（以下简称“您”）就有关使用PingPong福贸服务共同订立。本协议作为PingPong服务条款和条件（“PingPong主协议”）的补充，其应当与PingPong主协议一同理解。除非本协议另有定义，所有定义均与PingPong主协议中约定的含义相同。
除非适用法律另有规定，我们可以随时在我们的网站上发布更新的协议，并尽快通知您，包括但不限于有关您账户费用和功能的更新。在协议变更生效后，如您在继续使用您的PingPong账户，即构成您接受本协议的任何变更。
1.1 PingPong账户：是指您在网上注册和持续使用PingPong福贸服务时的网络账户。
1.2 PingPong福贸服务：是指PingPong向您提供的在线收款服务，可代表您收取您销售外贸商品或提供服务的资金款项。
1.3 收款账户：是指PingPong向您分配的仅用于PingPong福贸服务之目的，体现您持有的PingPong余额的收款账户。
2.1 PingPong为您提供的一系列支付服务，使您能够：
a) 从获批准付款人接收入账款项至指定的收款账户；
b) 根据提现指示或本协议约定，将收款账户中的资金提现至您的本地收款账户；以及
c) 从收款账户中向核准收款人付款。
2.2 若要拥有PingPong账户，您必须在自己的业务、贸易或活动过程中使用PingPong账户，您不得代表任何第三方注册PingPong，也不得以个人或家庭目的或作为消费者注册和使用。您特此承诺并声明，在使用PingPong服务时，您始终是出于商业目的而使用我们的服务，并且您不是任何相关法律项下定义的消费者。
2.3 在为您开立PingPong账户之前，PingPong需要执行所有的尽职调查和了解你的客户等程序，并在您使用过程中，不时向您核实PingPong所需的信息。
2.4 如果您公司的业务主营业务、股权架构、实际控制人、法定代表人或其他重大信息发生任何变化，您应当将上述变化事先通知我们。如您违反上述义务，可能导致您的账户关闭、服务延迟或拒绝进行未来交易。
2.5 PingPong福贸服务不提供任何银行账户的功能或收益。PingPong不是银行或信贷机构，我们无法就您PingPong账户中的资金向您支付任何利息。PingPong在任何情况下都不会收取您的任何存款。通过接受本协议，您确认PingPong有权保留其银行账户中持有资金而产生的利息。您进一步确认分配给您的收款账户不符合任何相关法律定义下的存款，包括但不限于香港存款保障计划条例。因此，您PingPong账户中或交易过程中的资金不会被投保，也不会被任何相关法律视为存款。
3.1 您确认并同意PingPong分配给您的收款账户仅用于接收基于贸易的款项、执行提现和/或出账付款，具体由PingPong全权决定。您进一步同意您不会将您自己的资金存入PingPong账户。
3.2 只有经PingPong批准的付款人才能向您的收款账户付款，付款目的仅限于PingPong限定的用途。PingPong有权自行决定是否批准该付款人的付款。我们有权拒绝任何可疑的入账，并在未经您事先同意的情况下，出于任何原因，包括但不限于合规/反洗钱原因、可疑交易以及PingPong认定的其他原因，将部分或全部转入的款项退还给付款人。同时，PingPong可能会在法律允许的限度内向您披露拒绝入账的原因。
3.3 为满足我们的反洗钱要求，对于每笔转入款项，您有义务在PingPong批准该等入账款项之前向我们提供并确认该等入账款项所对应的详细信息。我们可能会不时要求您提供所有支持性文件，包括但不限于买方详情、沟通记录、形式发票、商业发票、协议、店铺链接和装运文件等。未能提供上述信息或文件可能导致您的PingPong福贸服务中断或终止。
3.4 您同意并保证您不会将您的PingPong账户用于任何非法目的，包括但不限于诈骗、洗钱等。您不得使用PingPong服务从事任何违反相关法律法规的行为。如果PingPong有理由怀疑您直接或间接使用PingPong从事任何违反活动，我们可能会立即暂停或终止您的PingPong账户，或拒绝为您提供任何PingPong服务。对于PingPong因此遭致的所有损失，您应进一步向PingPong赔偿。
3.5 PingPong必须遵守各司法管辖区对国家、个人、实体、政权、领土和船舶实施的制裁，这些管辖区包括但不限于中华人民共和国、中华人民共和国香港特别行政区、美利坚合众国、联合国、欧盟和英国。您同意并保证，您不会使用您的PingPong账户直接或间接地从任何受制裁机构接收资金、进行对外支付或安排交付。如果PingPong有正当理由怀疑或确认您正在将您的PingPong账户用于任何受制裁机构之目的，则PingPong可冻结该等资金并立即中止或终止您的PingPong账户，而无需事先通知您。
3.6 您应当全权负责向所有相关政府和/或税务机关报告有关您收到的所有资金，并及时依法缴纳因此产生的任何税款。
4.1 PingPong将按照PingPong主协议的规定提供提现及出账付款服务。
5.1 您可以在您的用户界面上查询PingPong福贸服务的服务费，并在您每次执行PingPong福贸交易时提前向您披露。对于PingPong账户服务费，我们恕不退还。PingPong保留随时单方面修改上述费用的权利，同时会书面通知您。
5.2 您授权我们直接从您的PingPong账户中扣除PingPong福贸服务费。请注意，您因其他PingPong服务而拖欠的相关费用，PingPong有权根据PingPong主协议的规定，从您的PingPong账户中直接扣除。
5.3 如果您PingPong账户中的余额因任何原因变为负数，则该负数余额代表您拖欠PingPong的金额。PingPong可能会从您收到的款项中扣除这些款项，或者通过其余方式向您追索。
5.4 如果您在PingPong账户中持有多种货币的资金，而其中一种货币的余额因任何原因变为负数，PingPong可能会使用您持有的其他货币资金冲销负数余额。无论哪种情况，都必须进行货币转换，并采用PingPong的交易汇率。
6.1 在使用PingPong福贸服务期间，您必须：
(1) 只允许授权用户访问您的PingPong账户，而不允许任何其他人访问；
(2) 定期监控您的PingPong账户的交易；并且
(3) 如果您怀疑其他人知道您的PingPong账户凭据或详细信息，或者您认为您的PingPong账户可能被滥用，请停止使用PingPong账户并立即与我们联系。
6.2 您必须遵守我们可能不时通知您的账户的任何额外安全要求。
6.3 如果我们怀疑您的PingPong账户存在任何未经授权的使用、误用、非法或欺诈行为，我们可能会向执法机构披露任何我们认为合理的信息。
6.4 PingPong收到的资金在PingPong根据您的指示（视情况而定）执行提现或出账付款之前（视情况而定），由PingPong实际拥有。资金将以PingPong的名义存入相关银行账户，用于提供PingPong福贸服务，并且您同意这些资金将与我们其他客户的资金一起存入。同时，PingPong将根据适用法律将资金与PingPong自己的资金严格分开持有。
6.5 您承认任何银行或服务提供商与您没有任何法律关系，也不会因您使用PingPong福贸服务而对您负有任何审慎义务。您同意，除非我们以书面方式批准，否则不会与参与提供PingPong服务的任何银行进行任何直接沟通。与银行或其他支付提供商就PingPong服务进行任何直接接触可能导致您立即终止对PingPong服务的使用。
同时，您对PingPong账号凭证所指的任何账户不享有任何权利，并且您不得向第三方声称该等银行账户属于您。为避免混淆，您可以对外宣称PingPong是您的支付服务提供商。
7.1 本协议的存在、效力、履行、解释和争议解决应适用香港特别行政区法律。
7.2 凡因本协议所引起的或与之相关的任何争议､纠纷､分歧或索赔，包括协议的存在、效力､解释､履行､违反或终止，或因本协议引起的或与之相关的任何非合同性争议，均应提交由香港国际仲裁中心管理的仲裁，并按照提交仲裁通知时有效的《香港国际仲裁中心机构仲裁规则》最终解决。如果本协议的任何条款由于任何原因全部或部分无效或不能强制执行，本协议的其他条款仍应有效和有约束力。
7.3 本协议构成PingPong条款及细则不可分割的一部分。如本协议与PingPong条款及相关规则有任何冲突，应以本协议为准。若您表示接受本协议，即视为您已接受并完全理解上述本协议，本协议共同构成PingPong主协议的一部分。

User Agreement (this “Agreement”) is made and entered into by and between Ping Pong Global
Holdings Limited (“PingPong” or “We”) and the user (“You”) with regard to PingPong Flowmore Account and PingPong Flowmore services, together with the PingPong
Services Terms and Conditions (“PingPong
T&C”),
governs the use of Flowmore
services by
you. This Agreement is a supplement to PingPong
T&C
and it must be read together with PingPong T&C. Unless otherwise defined in this Agreement, all
capitalized terms have the meanings given in the PingPong T&C.
WE MAY CHANGE THE TERMS OF THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO FEES AND FEATURES OF YOUR ACCOUNT, AT ANY TIME, WITH A NOTICE TO YOU AND POSTING AN UPDATED AGREEMENT ON OUR WEBSITE, UNLESS APPLICABLE LAW REQUIRES A DIFFERENT METHOD. YOUR CONTINUED USE OF YOUR FLOWMORE ACCOUNT AFTER THE EFFECTIVE DATE OF ANY CHANGE CONSTITUTES ACCEPTANCE OF ANY CHANGE MADE TO THIS AGREEMENT.
1. Definition
1.1 Pingpong Account: means your online account when you register online and continue to use PingPong Flowmore service
1.2 PingPong Flowmore services: means the online collection services provided by PingPong to you, which can collect your funds for selling foreign trade goods or providing services on your behalf.
1.3 Payment Account: means the payment account that PingPong assigns to you only for the purpose of PingPong Flowmore services and reflects your available balance.
2. Your PingPong Flowmore Account
2.1 PingPong provides you, the payment service that allows you to:
d) Receive Inbound Payment from approved senders to a designated Payment Account;
e) Withdraw Funds from the Payment Account to your local Beneficiary Account in pursuant to Withdrawal Instruction or this Agreement; and
f) Initiate Outbound Payment from the Payment Account to an Approved Payee.
2.2 To have a PingPong Flowmore Account, you must use PingPong Flowmore Account in the course of your own business, trade or profession only without representing any third party to register in PingPong and not for domestic or household purposes or as a Consumer. You hereby acknowledge and represent that at all times while using the PingPong Services you are using our services for business purposes, and that you are not a Consumer for the purpose of the application of the applicable laws.
2.3 Prior to opening a PingPong Flowmore Account for you, PingPong is required to carry out all the due diligence process and verify certain information from you as determined by PingPong from time to time.
2.4 Where your main business activities, shareholding structure, ultimate beneficial owner, legal representative or other important information of your company change from what you have provided to us previously, you are required to inform us of above change. Failure to do so may result in account closure, delay, or a refusal to conduct future transactions.
2.5 PingPong Flowmore Services do not offer any feature or benefit of a bank account. PingPong is neither a bank nor a credit institution, and we are not permitted to pay interest to you on Funds held in your PingPong Flowmore Account. PingPong Flowmore Account shall in no event take any deposit from you. By accepting this Agreement, you acknowledge that PingPong is authorized to retain any interest that arises with respect to the sum of any Funds held in PingPong’s bank account(s). You further acknowledge that the payment account assigned to you does not qualify as a deposit account as defined by relevant laws and regulations, including but not limited to the Hong Kong Deposit Protection Scheme Ordinance, and thus Funds held in your PingPong Flowmore Account or in the process of transaction are not insured, nor are they a deposit.
3. Receiving Payments
3.1 The payment account/s assigned to you must only be used for receiving trade-based proceeds, execute Withdrawal Funds and/or Outbound Payments subject to PingPong’s sole discretion. You further agree that you will not deposit your own funds into your PingPong Flowmore Account.
3.2 Only senders approved by PingPong may make payments to your PingPong Flowmore Account for the purposes permitted under the PingPong Flowmore services. PingPong may approve such senders at its sole discretion. We reserve the right to reject any suspicious Inbound Payments and refund partial or all the Inbound Payments to the sender without your prior consent for any reason, including but not limited to compliance/AML reason, suspicious transaction and other reasons determined by PingPong. Please note that PingPong may disclose the reason of rejection if it is .
3.3 To meet our Anti-Money Laundering requirements, for each Inbound Payment, you are obliged to provide and confirm the details of each Inbound Payment before PingPong approves such Inbound Payment. We may request supporting documents (including but not limited to the details of buyer, communication record, proforma invoice, commercial invoices, agreement, store link and shipping documents, etc.) from time to time. The failure of providing abovementioned information or documents may result in suspension or termination of your PingPong Flowmore services.
3.4 You agree and warrant that you will not use your PingPong Flowmore Account for any illegal purposes, including but not limited to fraud, money laundering, etc. You are prohibited from using PingPong Services in any attempt to abuse, exploit, or circumvent any applicable law or regulation. If PingPong determines, at its sole discretion, that you are using your PingPong directly or indirectly in relation to any of the prohibited activities, we may suspend or terminate your PingPong Flowmore Account, or refuse to provide you any PingPong Flowmore Services immediately. You shall further indemnify PingPong for all losses of PingPong in connection therewith.
3.5 PINGPONG MUST ABIDE BY SANCTIONS IMPOSED ON COUNTRIES, INDIVIDUALS, ENTITIES, REGIMES, TERRITORIES AND VESSELS BY VARIOUS JURISDICTION WHICH SHALL INCLUDE WITHOUT LIMITATION TO, THE PEOPLE’S REPUBLIC OF CHINA, THE HONG KONG SAR OF THE PEOPLE’S REPUBLIC OF CHINA, THE UNITED STATES OF AMERICA, THE UNITED NATIONS, THE EUROPEAN UNION AND THE UNITED KINGDOM. YOU AGREE AND WARRANT THAT YOU WILL NOT USE YOUR PINGPONG FLOWMORE ACCOUNT TO RECEIVE FUNDS FROM, MAKE OUTBOUND PAYMENT, ARRANGE DELIVERY, DIRECTLY OR INDIRECTLY TO ANY SANCTIONED BODY. IF PINGPONG DETERMINES THAT YOU ARE USING YOUR PINGPONG ACCOUNT IN RELATION TO ANY SANCTIONED BODY, PINGPONG MAY FREEZE THESE FUNDS AND IMMEDIATELY SUSPEND OR TERMINATE YOUR PINGPONG FLOWMORE ACCOUNT WITHOUT PRIOR NOTICE TO YOU.
3.6 You shall be solely responsible for reporting all funds received by you to all relevant governments and/or tax authorities, and promptly pay any taxes arising therefrom in accordance with the law.
4. Withdrawal Funds and Outbound Payment
4.1 PingPong will provide withdrawal Transaction and Outbound Payment as set out in PingPong T&C.
5. Services Fees
5.1 The services fees applicable to PingPong Flowmore Services can be found on your dashboard and will be disclosed to you in advance each time you initiate a transaction in your PingPong Flowmore Account. PingPong Flowmore Account Service fees are not refundable. We reserve the right to modify these fees unilaterally from time to time and notify you .
5.2 You authorize us to deduct Flowmore service fees for Flowmore services directly from your PingPong Flowmore Account. Please note that applicable fees for other PingPong services may be offset directly from your PingPong Flowmore Account as set forth in the PingPong T&C.
5.3 If the balance in your PingPong Flowmore Account becomes negative for any reason, that negative balance represents an amount that you owe to PingPong. PingPong may deduct these amounts from funds that are received later, either by you or from payments you receive.
5.4 If you hold funds in a PingPong Flowmore Account in multiple currencies, and the balance for one of the currencies becomes negative for any reason, PingPong may set off the negative balance by using funds you maintain in a different currency. In either case, a currency conversion will be necessary, and PingPong’s transaction exchange rate (including our currency conversion spread) will be applied.
6. Safeguard
6.1 During the use of PingPong Flowmore Services, you must:
(4) only allow authorized users to access your PingPong Flowmore Account and not any other person;
(5) regularly monitor your transactions involving your PingPong Flowmore Account;
(6) if you suspect that someone else knows your PingPong Flowmore Account credentialsor details, or if you believe your PingPong Flowmore Account may be misused, stop using the PingPong Flowmore Account and contact us immediately.
6.2 You must comply with any additional security requirements for your account we may notify you from time to time.
6.3 We may disclose any information we believe to be reasonable to law enforcement agencies if we suspect there has been any unauthorized use, misuse, illegality or fraud in connection with your PingPong Flowmore Account.
6.4 Funds received by PingPong are beneficially owned by PingPong until the PingPong executes Withdrawal Instruction or Outbound Payment in pursuant to your instruction (as the case may be). Funds will be placed in underlying bank accounts in PingPong’s name for the purpose of providing the PingPong Services, and you agree that these Funds will be placed in aggregation with our client fund. Meanwhile, PingPong will hold the Funds segregated from PingPong’s own house fund in accordance with the Applicable law.
6.5 You acknowledge that any bank or Service Provider do not have a relationship with you and owe no duty of care to you by reason of your use of the PingPong Flowmore Services. You agree not to conduct any direct communication with any bank that is involved in provision of the PingPong Services unless such communication is approved by us in writing. Any direct contact with a bank or other payment provider regarding the PingPong Services may result in immediate termination of your use of the PingPong Services.
6.6 Meanwhile, you have no right in any account which the PingPong Flowmore Account Credentials refer to, and you must not represent to third party that such bank account belongs to you. For the avoidance of confusion, you could represent that PingPong is your payment service provider of money remittance.
7. Miscellaneous
7.1 The existence, validity, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region.
7.2 Any dispute, controversy, difference or claim arising out of or relating to this Agreement, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre ("HKIAC") under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. If any provision of this Agreement is invalid or unenforceable in whole or in part for whatsoever reasons, the remaining of this Agreement shall remain valid and binding.
7.3 This Agreement constitutes an integral part of the PingPong T&C. If there is any conflict between this Agreement and the PingPong T&C and related rules, this Agreement shall prevail. By indicating your acceptance to this Agreement, you shall be deemed to have accepted and fully understood this Agreement above which together forms part of the PingPong T&C.
